Business Overview
The company group operates in the medical services sector through hospitals that are fully equipped to provide both treatment and healthcare services, maintaining high standards for over 30 years. Currently, the group comprises three hospitals: 1) Mukdahan International Hospital, 2) Ruamphaet Yasothon Hospital and 3) Dr. Hann Hospital.
At present, HANN and HH have a total of 148 registered beds, which include registered beds from all of our hospitals, 59 registered beds at Mukdahan International Hospital, 59 registered beds at Ruamphaet Yasothon Hospital and 30 registered beds at Dr. Hann Hospital.
We have provided comprehensive services more than 16 medical centers and clinics through an administrative team with over 30 years of experience, ensuring safety and service quality, as well as facilitating and creating new experiences for our clients.

1. Mukdahan International Hospital
Mukdahan International Hospital is a medium-sized general hospital with a total of 59 registered beds. Additionally, the hospital features several service rooms, including 7 patient examination rooms, 1 operating room, 1 minor surgery operating room, 1 delivery waiting room, 1 delivery room, 2 medical procedure rooms, and 16 kidney dialysis machines.

Ruam Phaet Yasothon Hospital is a medium-sized general hospital with a total of 59 registered beds. The hospital offers various service rooms, including 5 patient examination rooms, 2 operating rooms, 1 delivery room, 1 delivery waiting room, and 15 kidney dialysis machines.

Dr. Hann Hospital used to operate as a medium-sized general hospital with 50 beds. Due to renovations at Dr. Hann Hospital, we temporarily moved services to Ruamphaet Yasothorn Hospital. At present, we have operated with 30 beds and there are total of 7 departments.

Milestones
- Registered the establishment of a medical clinic under the name "Dr. Hann Clinic" in Yasothon Province.
- Dr. Hann Hospital Public Company Limited (“HH”) was registered on 12 June 1990 with an authorized and paid-up capital of 20.00 million baht, which it was divided into 200,000 common shares with a par value of 100.00 baht per share, for the purpose of operating a medical facility under the name “Dr. Hann Hospital”.
- Mukdahan International Hospital Public Company Limited ("the Company" or "HANN") was registered on 30 January 1996 with an authorized and paid-up capital of 1.00 million baht, it was divided into 100,000 common shares with a par value of 10.00 baht per share, for the purpose of operating a medical facility under the name "Mukdahan International Hospital".
- On 30 April 2001, HANN increased registered capital from 1.00 million baht to 80.00 million baht by issuing and offering an additional 620,000 common shares with a par value of 100.00 baht per share, to be used as working capital for business operations.
- Dr. Hann Suchantabut acquired Ruam Phaet Yasothon Hospital to expand the hospital business to cover the Yasothon province area, which is a medium-sized general hospital.
- Mukdahan International Hospital has been accredited with Hospital and Healthcare Accreditation (Hospital Accreditation; HA) Level 2 by the Healthcare Accreditation Institute (Public Organization).
- Dr. Hann Hospital has been accredited with Hospital and Healthcare Accreditation (Hospital Accreditation; HA) Level 2 by the Healthcare Accreditation Institute (Public Organization).
- On 24 December 2014, HANN increased registered capital from 80.00 million baht to 239.00 million baht by issuing and offering an additional 1,590,000 common shares with a par value of 100.00 baht per share, to be used as working capital for business operations.
- On 24 December 2014, HH increased registered capital from 20.00 million baht to 109.00 million baht by issuing and offering an additional 890,000 common shares with a par value of 100.00 baht per share, to be used as working capital for business operations.
- On 29 April 2016, HH increased registered capital from 109.00 million baht to 169.00 million baht by issuing and offering an additional 600,000 common shares with a par value of 100.00 baht per share, in order to restructure the business in preparation for listing on the stock exchange.
- On 22 November 2016, HANN reduced registered capital from 239.00 million baht to 88.00 million baht by reducing the number of common shares to 880,000 shares with a par value of 100.00 baht per share, in order to write off accumulated losses.
- Ruam Phaet Yasothon Hospital has been accredited with Hospital and Healthcare Accreditation (Hospital Accreditation; HA) Level 2 by the Healthcare Accreditation Institute (Public Organization).
- HH began expanding the target customer base from domestic to international clients. Particularly Cambodian patients, we have appointed the representatives to bring Cambodian patients to the hospital for treatment because HH is renowned in the field of Urological Surgery for instance, treating urinary bladder stones.
- On 28 March 2017, HANN increased registered capital from 88.00 million baht to 100.00 million baht by issuing and offering an additional 120,000 common shares with a par value of 100.00 baht per share, to be used as working capital for business operations.
- On 16 July 2018, HH reduced registered capital from 169.00 million baht to 43.00 million baht by reducing the number of common shares to 1,260,000 shares with a par value of 100.00 baht per share, in order to write off accumulated losses.
- We have established a company named Ruam Phaet Yasothon Polyclinic Co., Ltd. (“YASO-C”) to operate a clinic-type medical facility in Siem Reap province, Cambodia, with an initial registered capital of USD 300,000, comprising 60,000 fully paid common shares with a par value of USD 5 per share.
- YASO-C increased capital by USD 140,000, with a par value of USD 5 per share, to be used as working capital for operations.
- On 16 June 2022, the Company proceeded with restructuring plan by establishing Hann Holdings Group Co., Ltd. (“HAG”), with Ms. Praphasri holding 100% of the shares, and conducted a share swap with HH to restructure the shareholding within the business.
- At the Extraordinary General Meeting of Shareholders of Ruam Phaet Yasothon Hospital Co., Ltd. (Meeting No. 1/2022) on 18 August 2022. There was a resolution which passed to transfer the entire business to HH, including all assets, rights, duties, liabilities and obligations related to the business operations, but excluding cash, bank deposits, and the company's individual liabilities. The business transfer value is equivalent to the net value per the company's asset and liability accounts as of 24 August 2022, totaling 53.50 million baht.
- At the Extraordinary General Meeting of Shareholders of Ruam Phaet Yasothon Hospital Co., Ltd. (Meeting No. 2/2022) on 2 September 2022, there was a resolution which passed to cease operations and liquidate the company. Moreover, we were deregistered with the Ministry of Commerce on 2 September 2022.
- On 21 September 2022, HH increased registered capital from 43.00 million baht to 100.00 million baht by issuing and offering an additional 570,000 common shares with a par value of 100.00 baht per share, to be used as working capital for business operations.
- On 22 December 2565, HANN increased registered capital from 100.00 million baht to 200.00 million baht by issuing and offering an additional 1,000,000 common shares with a par value of 100.00 baht per share, to restructure the company internally.
- Dr. Hann Hospital demolished the building about 3 floors due to deteriorating condition and it was in the process of reducing service bed capacity from 50 beds to 30 beds. As a result, Dr. Hann Hospital temporary suspended some services, including the inpatient department, and operated only a Primary Care Unit (PCU) to provide community health services. On 30 October 2024, Dr. Hann Hospital resumed operations as a 30 beds facility. The group planned to use part of the funds raised from this fundraising to construct a new building for reopening services (detailed construction plans for the new building are disclosed in Section 2.1, "Purpose of Funds"). However, currently, clients of Dr. Hann Hospital can access medical services from Ruam Phaet Yasothon Hospital, which is located approximately 1 kilometer away. Both hospitals are registered as medical facilities under Dr. Hann Hospital Co., Ltd.
- On December 31, 2023, YASO-C discontinued clinic operations in Cambodia due to performance results not aligning with the plan. However, the management continues to develop Dr. Han Hospital and Ruam Phat Yasothon Hospital, both of which are well-equipped with resources, aiming to provide quality medical services to Cambodian patients.
- On 10 May 2024, Mukdahan International Hospital and Ruam Phaet Yasothon Hospital reduced their registered bed capacity from 60 beds to 59 beds.
- At the Board Meeting (Meeting No. 4/2024) on 14 May 2024 and at the Extraordinary General Meeting of Shareholders (Meeting No. 1/2024) on 21 June 2024, the following resolutions were approved:
- To convert the company from a limited company to a public company, with the conversion registered on 1 July 2024.
- To change the par value of the company's common shares from 100.00 baht to 0.50 baht per share.
- To increase the registered capital from 200.00 million baht to 280.00 million baht by issuing and offering an additional 160.00 common shares with a par value of 0.50 baht per share, to offer common shares to the public for the first time (Initial Public Offering: IPO), which represents 28.57% of the company's issued and paid-up registered capital after the IPO.
